The proposed financing is aimed at expanding Wolfspeed’s U.S. production of silicon carbide (SiC) and gallium nitride (GaN) technologies. The materials are used in power electronics, defense systems, critical infrastructure and emerging AI applications.
The proposed deal is structured as a 30-year senior secured term loan that Wolfspeed could draw over time. The financing remains subject to due diligence, definitive agreements, government approvals and other conditions.
Under the proposed terms, Wolfspeed would issue warrants to the U.S. government covering up to 7.5% of its fully diluted shares. The arrangement links government support to Wolfspeed’s expansion of strategically important semiconductor capacity.
Wolfspeed produces silicon carbide semiconductors designed for demanding power applications, including EVs, solar inverters and industrial systems. The company also plans to expand GaN capabilities and radiation-hardening technology for communications and electronic-warfare applications.
